By accessing or using the Vyntraxa platform, website, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Vyntraxa d.o.o., a company registered in Slovenia with registration number 8467982341 ("Vyntraxa", "we", "our", or "us").

If you do not agree to these Terms, you must not access or use our Services. If you are using our Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Description of Services

Vyntraxa provides finance automation solutions designed specifically for small businesses operating within the European Union. Our Services include automated invoicing, financial reporting, payment processing, compliance management, and related business automation tools.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of our Services without notice or liability.

User Accounts and Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other security breach.

Eligibility

• You must be at least 18 years old to use our Services
• You must be legally capable of entering into binding contracts
• Your use of our Services must comply with all applicable laws and regulations
• You must not be prohibited from receiving services under applicable law

The Vyntraxa platform, including all software, content, trademarks, logos, and other materials, is owned by Vyntraxa or our licensors and is protected by intellectual property laws. All rights not expressly granted to you are reserved by Vyntraxa.

Licence to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use our Services for your business purposes. This licence does not include the right to:

• Resell, redistribute, or sublicense our Services
• Copy, modify, or create derivative works of our software
• Remove or alter any proprietary notices
• Use our trademarks or branding without written permission

Your Content

You retain ownership of all data, content, and materials you upload to our Services ("Your Content"). By using our Services, you grant us a licence to use, store, and process Your Content solely for the purpose of providing our Services to you.

Payment Terms and Billing

Access to certain features of our Services requires payment of fees. All fees are quoted in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated.

• Fees are charged in advance on a monthly or annual basis as selected
• Payment is due immediately upon invoice receipt
• We accept payment by credit card, bank transfer, and other approved methods
• All fees are non-refundable unless otherwise specified
• We may suspend or terminate your account for non-payment

Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases. Your continued use of our Services after the price change constitutes acceptance of the new pricing.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your data as described in our Privacy Policy.

We implement appropriate security measures to protect your data, but you acknowledge that no system is completely secure. You are responsible for maintaining the confidentiality of your account information and for backing up your data.

Service Availability and Support

We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. We may perform maintenance, updates, or other activities that temporarily affect service availability.

Support is provided during our business hours (Monday to Friday, 9:00 to 18:00 Central European Time) via email and phone. Response times may vary depending on the nature and complexity of your enquiry.

Limitation of Liability

To the maximum extent permitted by applicable law, Vyntraxa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our Services.

Our total liability to you for all claims arising out of or relating to these Terms or our Services shall not exceed the amount you have paid to Vyntraxa in the twelve months preceding the claim.

We provide our Services "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless Vyntraxa and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or any data you process through our Services

Termination

Either party may terminate these Terms at any time with or without cause. You may terminate your account by contacting us or through your account settings. We may terminate or suspend your account immediately if you violate these Terms.

Upon termination, your right to use our Services will cease immediately. We will provide you with access to export your data for a period of 30 days after termination, after which your data may be deleted.

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, and governing law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Slovenia.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable law.

General Provisions

Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated to you via email or through our Services. Your continued use of our Services after the changes take effect constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Vyntraxa concerning our Services and supersede all prior agreements and understandings.
